Dr. Wilson Li, President of Shenzhen Capital Group
Chairman of the Board of Directors
Dr. Wilson Li is currently the First Vice President of Shenzhen Capital Group, the largest Chinese investment holding Company. Prior to that, he served in Shenzhen Planning Bureau. Dr. Li has extensive experience in fund management, risk control, investment & international business. Dr. Li received his Master degree in Social Science from Zhongshan University, PhD in Management Science from Xian Jiaotong University and PhD in Public Administration & Government Policy from Chinese Academy of Social Science.

Victor Zhou, CEO
Mr. Zhou has extensive experience in IPO, asset management, private equity investment, security trading and investment, operation & management in China. His knowledge and familiarity with Chinese business environment brings value to Hartcourt. Right before Hartcourt, he was Chairman of Shanghai Hai Ji Investment Development Co., engaging in Venture Capital investment in China. Previously, Mr. Zhou was Chairman of Shanghai Hai Ji Fixed Assets Investment Co., where he successfully invested several real estates projects and turned around bad debts of several national commercial banks through debt restructure. Prior to that, Mr. Zhou severed as general manager of Shanghai Assets Management Dept of Huatai Securities, Shanghai business unit, Shenzhen business unit and Nanjing business unit of Huatai Securities sequentially. Mr. Zhou received his BA in Economics from Hunan University and EMBA from China Europe International Business School.

STEPHEN TANG, Chairman of Mega Pacific Capital Inc
STEPHEN TANG, age 54. Mr. Tang is the Chairman of Mega Pacific Capital Inc., a financial service company based in Hong Kong. He is also the Chief Operating Officer of Viasa Gem Fund Ltd Pty, a private equity located in Hong Kong. Mr. Tang has over 30 years of experience in senior management of financial services companies. He served as a director of Fintel (USA) Ltd., a financial data services company, from 1984 through 2004. Mr. Tang has served as a director of three public companies: Harcourt Companies Inc. (educational services), Elephant Talk Communications Inc. (telecommunications) and Sancon Resources Recovery Inc. (recycling). Mr. Tang received his BBM in Business Management from Hong Kong Baptist University and his MBA from the Asian Institute of Management. Mr. Tang is a resident of Hong Kong.

Zhenyu Hu, President of Beijing Yanyuan Rapido Education Company
Mr. Zhenyu Hu is President of Beijing Yanyuan Rapido Education Company ("Beijing YanYuan"), a company recently acquired by Hartcourt.Mr. Zhenyu Hu will bring to the Board a valuable perspective as an successful business executive and seasoned board member. His leadership skills, coupled with his considerable background and knowledge in education and training area, make him a welcome addition to the Board of Hartcourt. Mr Zhenyu Hu is the editor of the magazine "Successful Way," and the director of the Science Park of Peking University. Mr. Zhenyu Hu is also a well-known speaker in the education and training areas. He has appeared in numerous newspaper articles and television programs, and has published many articles and books on education. Mr Zhenyu Hu is the inventor of Beijing Yanyuan's training program that helps students rapidly improve their school grades, which has been proven to be effective. His business experience and reputation have allowed Beijing Yanyuan Rapido Education Company to become a national leading training institution.

George Xu, partner of G&D Law Firm
Mr. Xu is a partner in the G&D Law Firm, a position he has held since September 2002. Mr. Xu has been engaged in the practice of law for 17 years. He is a registered lawyer in China, and is a qualified securities legal adviser under Chinese law. He has considerable experience in establishing joint ventures and advising companies on acquisitions in China.
